1. Purpose and status
The Founding Creator Program recognises selected creators who make a sustained contribution to Fanlify. These Rules describe candidacy, qualification, milestone verification and eligibility for a possible equity Award. Applying, being selected or reaching a milestone does not by itself create a right to an Award or Shares.
2. Governing documents
Mandatory law, Fanlify’s Articles of Association and valid corporate resolutions prevail. The Creator Equity Plan governs the equity framework and an individually approved Grant Agreement creates the only binding Award. Public pages, application materials and Candidate Notices are informational unless expressly stated otherwise.
3. Equity pool and selection
The program is designed around a maximum pool of 500,000 Shares. The pool is a program limit, not a promise that all Shares will be issued or granted. The Company may select candidates by considering original content, audience quality, retention, activity, compliance, platform contribution and available pool capacity.
4. Eligibility and Qualification Period
A candidate must be legally eligible, maintain a verified Fanlify account, create original video, audio or photo content, remain in good standing and complete three consecutive full calendar months of qualification. The Company may request identity, age, tax, sanctions and audience verification.
5. Minimum monthly activity
During qualification and vesting, a creator must publish at least six original video and/or audio posts per calendar month, or twenty original photo posts. A mixed month qualifies where (Video + Audio) ÷ 6 + Photos ÷ 20 ≥ 1. Each post counts once; a gallery or carousel is one photo post. Duplicates, reuploads and insignificant variants do not qualify.
6. Qualified Paying Subscribers
A Qualified Paying Subscriber is a genuine, active, paid subscription attributed to the creator. Refunded, reversed, fraudulent, artificial, self-created or coordinated subscriptions, and unpaid access excluded by the Rules, do not count. For a milestone to qualify, both the average daily level and the final-day level must meet the threshold in each of the three qualification months.
7. Cumulative milestones
- 100 subscribers — up to 1,000 cumulative Shares
- 250 — up to 2,500
- 500 — up to 5,000
- 1,000 — up to 10,000
- 2,500 — up to 15,000
- 5,000 — up to 25,000
The levels are cumulative, not additive. Reaching a level creates eligibility for consideration only. The Board may approve fewer than the maximum Shares or no Award.
8. Award and vesting
An Award exists only after corporate approval and signature of an individual Grant Agreement. Unless that agreement states otherwise, each Award vests over 24 months with a three-month cliff: 3/24 vests after month three and 1/24 monthly thereafter. Every incremental Award has its own schedule.
9. Active Status, pauses and review
Vesting requires an active verified account, required publishing activity, good standing, truthful data and cooperation with verification. The Company may approve a written pause. A period of sixty consecutive days without qualifying content may pause vesting. A remediable breach normally receives notice and a 30-day cure period. A creator may request review of a decision within 30 days.
10. Suspension, Cause and leaving
Suspected fraud, milestone manipulation, serious rule violations, infringement, illegality or refusal of verification may suspend vesting. On ordinary departure, Unvested Awards lapse and Vested but unexercised Awards are normally available for 90 days. On termination for Cause, Unvested Awards lapse immediately and other consequences follow the Grant Agreement and law. Good Leaver treatment may apply to death, incapacity, serious illness or another approved exceptional event.
11. International, tax and financial risk
The equity component may not be available in every country. Participants are responsible for independent legal and tax advice. Awards and private Shares may be illiquid, diluted or worthless; dividends, valuation, financing and an exit are not guaranteed. The program does not create employment, agency, partnership or a right to continued platform access.
12. Changes and governing law
The Company may amend, suspend or terminate the program, but may not retroactively remove a Vested Award except where permitted by law or a binding agreement, or to correct fraud or material error. Czech law governs these Rules. The final approved English version controls, subject to mandatory local law.
